Terms of Service

These Terms of Service govern your use of the AiGade Recruitment platform operated by AiGade Consulting Services. By signing up or using the Service, you agree to these Terms.

1. Recruitment Services

AiGade Recruitment provides software tools for candidate phone screening, resume matching, and pipeline management. AiGade is not a recruiter, staffing firm, or hiring agent. You retain all responsibility for: final hiring decisions; EEOC / Title VII / ADA / ADEA / FCRA compliance; applicable state and local employment law (ban-the-box, wage transparency, salary history bans); candidate consent for recording; and all hiring outcomes.

2. Voice Recordings and Consent

The Service records candidate phone interviews. You are responsible for ensuring candidates have been informed of and have consented to recording before their call begins. AiGade provides belt-and-suspenders consent capture: (1) SMS opt-in includes an explicit consent statement, and (2) the voice agent discloses recording at call start.

In two-party consent states (Connecticut, Massachusetts, Illinois, and others), you warrant that the consent mechanisms above satisfy your applicable legal obligations. AiGade recommends you confirm this with counsel before deploying to candidates in those states.

Call recordings and transcripts are retained per the Privacy Policy retention schedule (90 days default; Pro tier 12 months).

3. Candidate Data and AI Scoring

AiGade interview scoring is generated by AI (DeepSeek LLM plus resume parsing). AI scores may contain errors, inaccuracies, or incorrect inferences. You are responsible for: reviewing all AI scores before making hiring decisions; verifying facts through independent means; and treating AI scores as a screening tool, not a final assessment.

AiGade is not liable for damages arising from your reliance on inaccurate AI scores without independent verification.

4. Your Role as Data Controller

You are the data controller for candidate personal data processed through the Service. AiGade acts as a data processor on your instructions. You must have a lawful basis to process candidate data and must provide required privacy notices before candidates interact with the Service.

5. AEDT Compliance (NYC Local Law 144)

The Service uses automated employment decision tools (AEDT) as defined by NYC Local Law 144. AiGade blocks sign-up for New York City employers until a bias audit has been completed and the required 10-day candidate notice and alternative assessment mechanism are in place (Sprint 3+). If you operate in New York City, do not use this Service until that capability is available.

6. AI Hallucinations

AI-generated content (transcripts, score explanations, question suggestions) may contain errors. Treat all AI output as a starting point requiring human review. AI may contain errors and should not be used as a substitute for professional judgment.

7. Limitation of Liability

AiGade liability to you is capped at amounts you paid in the preceding 12 months. AiGade is not responsible for: outages of sub-processors (Vapi, Telnyx, DeepSeek, etc.) beyond our control; data loss from sub-processor security breaches; or candidate inability to access the Service due to phone or SMS carrier failures.

This cap does not apply to: gross negligence, willful misconduct, or indemnity obligations.

8. Indemnification

You indemnify AiGade against claims arising from: your hiring decisions and consequences (wrongful termination, discrimination claims); violation of EEOC / Title VII / ADA / ADEA / FCRA / state employment laws; use of AiGade scores without human review; failure to offer reasonable accommodations; and your interview questions or scoring rubrics infringing third-party rights.

9. Termination

You may cancel your account at any time. Your Telnyx DID remains active until the end of your billing period. After explicit cancellation, the DID deactivates following a 30-day grace period. AiGade may suspend or terminate your account for material violation of these Terms with notice where feasible.

10. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles. Disputes shall be resolved in the courts of New Jersey unless otherwise agreed in writing.

11. Changes to These Terms

We may update these Terms. We will notify you by email and in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
